1. Acceptance of Terms

By accessing and using Okra Advisory's services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Services Description

Okra Advisory provides professional consulting services including:

• Grant proposal writing and development
• Monitoring, evaluation, and reporting (MER) systems
• Budget development and financial planning
• Expenditure verification and compliance auditing

3. Client Responsibilities

Clients are responsible for:

• Providing accurate and complete information
• Timely payment of agreed fees
• Cooperating with our team throughout the project
• Maintaining confidentiality of proprietary methodologies
• Complying with all applicable laws and regulations

4. Payment Terms

Payment terms will be specified in individual service agreements. Generally, we require a deposit before commencing work, with the balance due upon completion or according to agreed milestones. Late payments may incur additional charges.

5. Intellectual Property

All work products created by Okra Advisory remain our intellectual property until full payment is received. Upon payment, clients receive appropriate usage rights as specified in the service agreement. Our methodologies, templates, and proprietary processes remain our intellectual property.

6. Confidentiality

We maintain strict confidentiality regarding all client information and project details. We will not disclose confidential information to third parties without written consent, except as required by law.

7. Limitation of Liability

Our liability is limited to the amount paid for our services. We are not responsible for indirect, consequential, or punitive damages. While we strive for excellence, we cannot guarantee specific outcomes such as grant approvals or funding success.

8. Termination

Either party may terminate services with written notice. Upon termination, clients are responsible for payment of all work completed to date. Confidentiality obligations survive termination.

9. Governing Law

These terms are governed by the laws of South Africa. Any disputes will be resolved through arbitration in Johannesburg, South Africa.
